Terms of service
Last updated 19 October 2026
In short
- Vervoro is for businesses, not consumers. At launch it is available to businesses in the UK.
- Vervoro is in alpha and not yet generally available. Beta access is by invitation and may change as we build.
- A billing problem never stops your orders and stock from moving, and we never set your marketplace stock to zero unless you chose that.
- You own your data. You can export it at any time until it is erased.

1. About these terms
These terms are an agreement between Vervoro Limited (company number 17524562, registered office 81 Chorefields, Kidlington, OX5 1SY, England; "Vervoro", "we", "us") and the business that signs up for Vervoro ("you", "your company"). The person who accepts them confirms that they may bind that business.
They cover the Vervoro service (the software, its apps and its support) and this website. Our privacy notice explains how we handle personal data. Our data processing agreement, which you accept before connecting your first marketplace, forms part of these terms and governs the buyer data we process for you.
2. Alpha and beta
Vervoro is being released in phases: alpha, closed beta, public beta and general availability. We are in alpha, and the service is not yet available to the public.
- Waitlist. Joining the waitlist does not create an account or an obligation for either of us. We may invite waitlist members to the closed beta at our discretion.
- Beta access. During the closed and public beta, features may change, be added or be removed, and the service may be less available than it will be at general availability. We may agree extra written terms with closed-beta participants.
- Feedback. If you send us suggestions, we may use them to improve Vervoro without any obligation to you.
The rest of these terms apply whenever you use the service, in beta and after.
3. Who may use Vervoro
Vervoro is for businesses only. By signing up you confirm that you are acting for a business, not as a consumer. At launch, Vervoro is offered to businesses established in the UK. Each company has its own separate account; a group with companies in different countries opens one account per company.
4. Accounts and security
- Each person who uses Vervoro has their own login and signs in with two factors: a passkey, or a password with an authenticator app. Logins may not be shared, and there are no shared warehouse accounts.
- Your company's owners decide who is invited and what role each person has. You are responsible for what happens under your company's account, and for removing people who should no longer have access.
- Tell us straight away at [email protected] if you think someone has misused your account.
- Our staff do not have standing access to your company. Our operator may look inside it only to help you, through a time-limited grant with a recorded reason that your company is told about at once and can end.
5. Trial
A new company may try Vervoro free for 21 days, without payment details. Each company gets one trial. We may extend a trial.
Before a marketplace connection first goes live (sends stock figures), in a trial or on a paid plan, your company's owner must add a payment method, choose what should happen to that connection's figures if Vervoro ever has to stop sending ("leave them as they are" or "send zero"), and name a contact for stock matters. In shadow mode Vervoro sends nothing to your marketplaces, so none of this is needed.
6. Plans and fees
- Plans. Each plan includes a set of features and a monthly order ceiling. Users, marketplace accounts and warehouses are unlimited on every plan. Prices are shown when you choose a plan and on our pricing page once published.
- The order ceiling is never a block. It counts orders dispatched from your own warehouses, averaged over the last three complete months. Orders shipped by Amazon are not counted. If you go over it, we tell you, and your plan moves up at your next renewal with at least 30 days' notice. We never charge overage and never stop an order for it.
- Upgrades take effect at once, and you pay the difference for the rest of the billing period. Downgrades take effect at the end of the period.
- No usage charges. Fees are a fixed subscription per plan.
- VAT. Fees are exclusive of VAT, which we add at the applicable rate.
- Price changes. We give at least 30 days' notice of a change to the price of your plan, and you may cancel before it takes effect.
7. Payment and late payment
- Fees are paid in advance for each billing period, by card or Bacs Direct Debit, through our payment provider. You enter payment details only on the provider's own pages; we never see or store them.
- We send a VAT invoice for every payment. Invoices are never changed once issued; a correction is made by credit note.
- If a payment fails, our payment provider retries it and emails you. If it is still unpaid 14 days after it first failed, your company becomes restricted; if it is still unpaid after 30 days, your company is closed (section 9). A trial that ends without a payment method is restricted at once and closed 14 days later.
- Restricted still ships. While restricted, orders keep coming in and being reserved, picked, packed and dispatched, stock is received and counted, and figures keep going to your live connections. Everything else is read-only until you pay.
8. Cancellation and refunds
- Your company's owner can cancel at any time in Vervoro. Cancellation takes effect at the end of the paid period, and can be taken back until then. Before it is confirmed, you review what will happen to each live connection's figures.
- We do not refund part periods on cancellation or downgrade.
- If we charge you by mistake, for example twice or for the wrong plan, we refund or credit it.
9. Closing, export and erasure
- When a company closes (after cancellation, or after unpaid invoices as in section 7), we first carry out each live connection's stop choice. If you chose "send zero", we send zero and wait for each marketplace to confirm it. If you chose "leave the figures", they stay as they are. We never send zero unless you chose it.
- Decrease-only until erasure. From then on, orders keep coming in and reserving stock, and figures sent to marketplaces can only go down, never up, so a closed account cannot oversell.
- Export. You can export your company's data at any time until erasure.
- Reopening. If you pay before erasure, your company reopens with its data whole. Its connections come back in shadow mode, and go live again after a check.
- Erasure. 30 days after closing, your company's data is erased, except what the law requires us to keep, such as our own invoices to you. When erasure happens, each marketplace connection is disconnected and its figures are left where they are. You may ask for earlier erasure.
10. Marketplace connections
- You connect your own marketplace and shop accounts, and you remain responsible for complying with each marketplace's terms and policies. Vervoro follows each marketplace's rules, which may be stricter than these terms, and we tell you where that affects you.
- A new connection starts in shadow mode: Vervoro reads and checks, but sends nothing, until someone in your company with the right role makes it live.
- Marketplaces control their own systems, limits and approvals. We are not responsible for a marketplace's outage, delay, change of rules or decision about your account, but we design Vervoro so that a failure on one connection does not affect the others.
- You choose and contract your own carriers. Sending an address to your carrier to buy a label is done on your instruction.
11. Your data
- You own your data. You give us the right to use it only to provide, secure and support the service for you, and as the law requires.
- Buyer data. For your buyers' personal data, you are the controller and we are your processor, under our data processing agreement. We keep only what is needed to ship, and remove it 30 days after delivery, as described in our privacy notice. You are responsible for having a lawful basis to give us that data and for answering your buyers' requests, and we help you do so.
- Separation. Your company's data is kept apart from every other company's.
- Sub-processors. We publish our sub-processors and give you 30 days' notice of a change. If you object to a change, you may cancel before it takes effect.
- Our software. We own Vervoro and everything we provide as part of it. Subject to these terms, we give your company a non-exclusive, non-transferable right to use the service for its own business during its subscription.
12. Acceptable use
You agree not to:
- use Vervoro for anything unlawful, or in breach of a marketplace's terms;
- share logins, or try to reach another company's data;
- probe, scan or test the security of Vervoro without our written permission (we welcome responsible reports: see our security page);
- overload, disrupt, copy, resell, reverse-engineer or build a competing product from the service, except as the law allows;
- upload malicious code, or data you have no right to give us.
13. The service and changes to it
- We provide the service with reasonable skill and care, and we work to keep it available and secure. We may need to pause it briefly for maintenance; we schedule this to avoid working hours where we can.
- We improve Vervoro continually. We will not make a change that materially reduces the core features of your plan during a paid period without telling you first and letting you cancel.
- We give support by email at [email protected], with the support level of your plan.
14. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
- Neither of us is liable to the other for loss of profit, revenue, business, goodwill or anticipated savings, or for indirect or consequential loss.
- Otherwise, each party's total liability under these terms in any 12-month period is limited to the fees your company paid for the service in that period. During a free trial or free beta, our total liability is limited to £100.
- Except as set out in these terms, the service is provided without other warranties, to the extent the law allows. Beta features are provided as they are.
15. Suspension and ending
- We may suspend access for a person or a company if it is needed to stop a security threat, a serious breach of these terms or unlawful use. We will tell you why and restore access as soon as the reason is resolved. Even then, we will not leave your marketplaces selling stock you no longer track without carrying out your stop choice.
- Either of us may end this agreement if the other seriously breaches it and does not fix the breach within 30 days of being told. You may also end it at any time by cancelling (section 8).
- When the agreement ends, section 9 applies. Sections that by their nature continue (including 9, 11, 14 and 16) survive.
16. General
- Changes to these terms. We may update these terms. We will give at least 30 days' notice of a change that matters to you, and you may cancel before it takes effect. The date at the top shows the latest version.
- Events beyond control. Neither of us is responsible for a delay or failure caused by events beyond reasonable control.
- Transfer. You may not transfer this agreement without our consent. We may transfer it to a company that takes over our business, and we will tell you.
- Whole agreement. These terms, the data processing agreement and the privacy notice are the whole agreement between us about the service.
- Notices. We send notices to your company's owners and billing contact by email. You can send notices to [email protected].
- Law and courts. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
